Introducing Sunbeam Governance (Launching 2029)
A proposed structure for Sunbeam in which the mission owns the company and investor returns are capped.
A structure that answers to impatient money sells its mission sooner or later. Sunbeam is a community of people who build, so we are writing ours down now, while it is still cheap to get right.
The shape is borrowed from early OpenAI: a mission that owns the machine, and investors whose returns are capped. The charter sits at the top. Stewards hold it. Below them run two layers, the free layer (First Light) and the funded layer (the Accelerator), and the funded layer exists to pay for the free one. That direction never reverses.
The charter
One page, three commitments. Sunbeam brings together bright, moral minds. It puts capitalism's multipliers behind them. And First Light stays free, forever. The charter outranks every commercial obligation Sunbeam takes on, and everyone who invests acknowledges that in writing before their money clears.
Stewards
Stewards are the board. Every steward holds a Beam, and Beams are only ever granted, so every seat at this table is earned. A majority of stewards must hold no financial stake in the Accelerator or anything it backs. Stewards guard the charter, grant Beams, and can stop any decision in the funded layer that bends the mission.
The cap
Sunbeam is the capped vehicle. Money invested in Sunbeam itself earns a return capped at a fixed multiple agreed at the time of investment, and everything above the cap flows to the free layer. Below it, the Accelerator is a straight venture fund: part-owned and funded by Sunbeam, with ordinary venture returns for every backer, Sunbeam included. Sunbeam's stake is what fills the pool the cap governs. If we are wrong, investors lose the way any venture bet loses. If we are right at the scale we intend, the overwhelming share of the value lands in the mission.
The record
Governance you can check. Steward decisions, Beam grants and cap terms are stamped into a public, append-only ledger, the one that already verifies passports. Anyone can audit what was decided and when, no account needed. How verification works is public.
Why this works for Sunbeam
Every mechanism above already exists here in miniature. Beams already gate power, and every Beam is earned. The Accelerator was already designed to fund First Light. The ledger already verifies passports offline. Governance promotes the rules the community already runs on into the constitution of the company it becomes.
